Pauli Overdorff, President, of Alarian Associates, has been a senior executive officer in the business and professional services industries for more than 25years. As a serial COO with extensive experience in all aspects of executive and operational functions and particular expertise in strategy, marketing, product/services development and operational execution she has been effective in running companies that require new business models for growth or restructuring and turn around.

As a principal of Alarian, Pauli has developed particular expertise in management buy-outs of divisions of large middle market companies and launched the unfunded sponsor initiative for Alarian in 2006. She is particularly skilled at identifying key drivers for growth within an industry and directing profit-enhancing five year strategic plans and financial forecasts.  As important is her ability to create innovative financial structures that are situation and client specific.

Pauli has 20 years in the IT professional services/technology delivery, staffing, executive search and human capital sector largely serving the financial services and process manufacturing industry. She was Executive Vice President of TMP Worldwide and was recruited to integrate 17 IT staffing and professional services acquisitions that the company had made in 1999 – 2001 as well affect a turnaround of the operation and achieved profitability in nine months. Prior to TMP, Ms. Overdorff spent 5 years at Spherion as Executive Vice President where she launched the first Internet Service Division of one of the top world wide staffing companies and also served as Regional Vice President of the Technology Services Division where she held operational responsibilities for more than $200 million in North American consulting services. For 11 years, she ran the financial services division of AGS Computers, a division of NYNEX that delivered IT consulting and staffing services and completed her tenure as Senior Vice President of Payment Services, a business process outsourcing division.

She also held a senior position at Bear Stearns; the brokerage’s clearing outsourcing service.
Ms. Overdorff has a BA degree in Philosophy from Mary Baldwin College and an MBA from Baruch College, The City of New York.

Michael C. Alcamo, President, M.C. Alcamo & Co., Inc. is an experienced and successful private equity investor, media entrepreneur, and workouts specialist.  In addition to his partnership with Alarian, he advises private equity investors and media and communications firms on strategic transactions, recapitalizations, mergers and acquisitions, valuations, investor and related financing matters.

The firm’s merchant banking expertise extends to complex corporate workouts, the resolution of joint ventures or illiquid portfolio investments, and real estate matters.  The firm work close with private equity managers responsible for nearly $15 billion in private capital and is a trusted partner to business owners, entrepreneurs, and other investment banks
From, 2004 to 2004, Mr. Alcamo was Chief Executive Officer and General Partner of HPJ Media Ventures Fund, LLC a $21.7 million buyout and venture fund in communications and media.  He originated and managed HPJ’s five investments from inception through a successful exit in October 2004.

Timothy K. Hogan:  Mr. Hogan is an experienced tax attorney and Certified Public Accountant with broad experience in a wide range of industry segments. He provides a varied range of services to clients, including strategic analysis and planning, capital raising (both equity and debt), recruitment of key management, oversight of outside professionals, negotiation of strategic relationships, crisis management, and merger and acquisition advice and implementation.

Timothy K. Hogan is a member of Rifkin, Livingston, Levitan & Silver, LLC and the firm's Bankruptcy and Creditors' Rights Practice Group in an "of counsel" position. Mr. Hogan was formerly with the firm of Miles & Stockbridge, where he was a principal in the tax group and is a certified public accountant. His practice includes insolvency taxation for debtors and creditors, health care tax law, equipment lease, and tax litigation. Mr. Hogan also served for eight years as a member of Representative Benjamin Cardin's Federal Tax Advisory Committee.

Tim often served as special tax counsel to lenders, owners, and sellers in equipment leasing transactions. These transactions included both single-investor and leveraged-leased structures in the airline and railroad industries; and has represented clients in a variety of tax matters before federal and state administrative tribunals and courts.  In addition to an undergraduate degree in Accounting, Mr. Hogan holds a masters degree in Taxation.  He is a Certified Public Accountant, and received his law degree from the University of Baltimore.
